Terms of Service
Effective date: November 4, 2026
Status: Draft — subject to counsel review before launch.
1. Agreement to Terms
By accessing haga.mushoodhanif.com (the "Site") or engaging Haga Labs ("Haga", "we", "us", "our") for evaluation services ("Services"), you ("Customer", "you") agree to these Terms. If you do not agree, do not use the Site or Services.
2. Services Description
Haga provides independent, adversarial verification for physical AI artifacts:
- Policy Stress (Pillar 1): Simulation-based stress testing of robot policies under tiered mass and friction perturbations, scored against a frozen relative gate.
- World-Model Physics (Pillar 2): Frame-by-frame physics-consistency checking of generated or real video against calibrated detectors with frozen thresholds.
- Fixed-Scope Audits: Scoped evaluations of public artifacts with defined clip counts and turnaround times.
Each engagement is governed by a Scope Agreement that defines the artifact, criteria, thresholds, timeline, and deliverables before any run begins.
3. No Certification
Haga's verdicts (PASS / FAIL / ABSTAIN) are not certifications. They are measurements against an agreed criterion. A PASS does not mean the artifact is safe, correct, or fit for any purpose. A FAIL does not mean it is unsafe. The report states the method, the numbers, the intervals, and the limitations. The customer is responsible for any deployment decision.
4. Confidentiality
Haga's own research runs are published with failures. Customer evaluations are confidential unless the customer opts in in writing.
- For private runs, the report is delivered to the Customer only. Evidence (overlays, per-clip tables, calibration state) is withheld.
- Hashes of the evidence files are delivered so the Customer can verify integrity later.
- Haga retains anonymised aggregate statistics (flag rates, verdict distributions) for internal benchmarking. Raw footage and per-clip evidence are not reused without the Customer's written permission.
- Retention: private reports and evidence hashes are retained for 12 months after delivery unless the Customer requests deletion. Anonymised aggregates are retained indefinitely.
5. Intellectual Property
- Customer IP: The Customer retains all rights to submitted artifacts, footage, and data. Haga acquires no rights except the limited license to process them for the engagement.
- Haga IP: Haga retains all rights to its pipeline, methodologies, detectors, thresholds, report templates, and any improvements derived from running the evaluation.
- Report: The delivered report is licensed to the Customer for internal use. Redistribution requires Haga's written consent.
6. Fees and Payment
- Fees are defined in the Scope Agreement (see Pilot page for indicative pricing).
- Payment terms: 50% on scope agreement, 50% on report delivery, unless otherwise agreed.
- Late payments accrue interest at 1.5% per month (18% APR) or the maximum permitted by law.
- Taxes (VAT, GST, withholding) are the Customer's responsibility.
7. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." HAGA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HAGA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ARTIFACT WILL PASS OR FAIL ANY PARTICULAR TEST. THE PIPELINE MAY PRODUCE FALSE POSITIVES AND FALSE NEGATIVES; LIMITATIONS ARE DOCUMENTED IN EVERY REPORT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAGA'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER FOR THE APPLICABLE ENGAGEMENT. IN NO EVENT SHALL HAGA BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY.
9. Indemnification
The Customer shall indemnify and hold Haga harmless from any claims arising from the Customer's submitted artifacts, footage, or data, including claims of IP infringement, privacy violations, or regulatory non-compliance.
10. Term and Termination
- These Terms apply for the duration of the engagement and survive indefinitely for confidentiality, IP, and liability provisions.
- Either party may terminate on written notice if the other materially breaches and fails to cure within 14 days.
- Haga may terminate if the Customer's artifact poses a safety or legal risk.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware (if US-incorporated) or the Province of Ontario (if Canada-incorporated), without regard to conflict-of-laws principles. Disputes shall be resolved by binding arbitration (ICC Rules, single arbitrator, English language, seat at place of incorporation) except for injunctive relief. The parties consent to the exclusive jurisdiction of the courts at the place of incorporation for any arbitration-related proceedings.
12. General
- Entire Agreement: These Terms and the Scope Agreement constitute the entire agreement.
- Amendments: Must be in writing signed by both parties.
- Assignment: Neither party may assign without the other's written consent, except Haga may assign to an affiliate or successor.
- Force Majeure: Neither party is liable for failures due to events beyond reasonable control.
- Severability: If any provision is unenforceable, the remainder stands.
- Notices: Via email to the addresses in the Scope Agreement.
